1. Introduction

These Terms & Conditions (“Terms”) govern The Client’s use of coaching, consulting, wellness, and related services provided by Sonia Basanta Health Coaching & Consulting (“The Provider”).


By booking a session, purchasing a package, or using the services, The Client confirms that The Client accepts these Terms.

 

2. Scope of Services

2.1 Services Provided
The Provider offers non-medical, preventive, and educational services, including:

  • Personal development & mindset coaching
     

  • Health coaching & stress-management support
     

  • General preventive nutrition guidance
     

  • Wellness, lifestyle & habit support
     

  • Yoga sessions and yoga-based movement guidance
     

  • Pre-recorded yoga videos (supplementary only)
     

2.2 Important Clarifications

  • The services are not medical or psychological treatment, physiotherapy, or any regulated healthcare service.
     

  • The Provider is not a licensed medical practitioner or psychotherapist.
     

  • The Client is encouraged to consult qualified healthcare professionals for any medical or mental health concerns.
     

  • The services do not guarantee specific outcomes.
     

2.3 Delivery Format

  • Coaching services are delivered online via Zoom, Google Meet, Skype, or an equivalent video-conferencing platform.

  • Services are offered in the form of structured coaching programs and/or individual coaching sessions. Each offer includes a defined number of online sessions, which may vary in duration (for example, 60 minutes, 90 minutes, or other stated lengths), frequency, and sequencing, as communicated at the time of purchase or enrollment.

  • The Midlife Wellbeing Reset is delivered as a multi-session coaching program consisting of six bi-weekly online sessions. The program combines longer foundational sessions with shorter implementation-focused sessions, in accordance with the program structure in effect at the time of enrollment.

​

  • Standalone coaching sessions (such as discovery or follow-up sessions) are delivered as individual online sessions of a specified duration, as agreed at the time of booking.

2.4 Service Agreement

  • Booking, purchasing, or paying constitutes The Client’s acceptance of these Terms.
     

  • If a third party pays on The Client’s behalf, that third party acts as The Client’s agent.
     

2.5 Minimum Age

  • The Client must be 18 years or older.
     

 

3. Client Responsibilities

The Client agrees to:

  • Provide accurate and relevant information necessary for the provision of coaching services.
     

  • Make their own decisions; outcomes depend on The Client’s effort and circumstances.
     

  • Consult healthcare professionals before starting any new exercise, nutrition, or wellness program.
     

  • Participate in yoga or physical activities at The Client’s own risk; medical clearance is recommended when appropriate.
     

  • Maintain respectful behaviour. The Provider may terminate the agreement immediately and without refund if The Client engages in abusive, illegal, discriminatory, or unsafe conduct.
     

 

4. Confidentiality

The Provider treats all information provided by The Client as confidential. Disclosure occurs only if:

  • Required by law
     

  • Necessary to prevent imminent harm
     

  • The Client has given explicit permission
     

Confidentiality applies to all sessions and communications.

 

5. Eligibility & Consent

By booking, The Client confirms that:

  • The Client has read, understood, and accepts these Terms, the Privacy Policy, and the Cookie Policy.
     

  • The Client consents to the processing of personal data as described in the Privacy Policy.
     

  • The Client consents to the use of third-party tools, including Calendly, Stripe, Wise, GA4 and Meta tools.    

 

6. Withdrawal, Cancellation & Termination

6.1 EU 14-Day Withdrawal

  • The Client has a 14-day right of withdrawal for online contracts.
     

  • If The Client chooses to begin services during this period and provides consent, the right of withdrawal is waived for services already provided.
     

6.2 Session Rescheduling & Cancellation

  • Sessions may be rescheduled or cancelled at least 24 hours in advance without penalty.
     

  • Cancellations with less than 24 hours’ notice are charged in full.
     

6.3 Termination by The Client

  • The Client may terminate services with 5 days’ written notice.
     

  • Unused prepaid sessions will be refunded pro-rata, excluding late cancellations or sessions already delivered.
     

6.4 Termination by The Provider

  • The Provider may terminate services with 5 days’ written notice for justified reasons (e.g., illness, misconduct, breach of Terms).
     

  • Prepaid unused sessions will be refunded pro-rata, excluding late cancellations.
     

  • Immediate termination without refund applies in cases of misconduct (Section 3).
     

6.5 Refunds

  • Refund requests must be submitted in writing within 14 days of cancellation/termination.
     

  • Approved refunds are processed within 30 days using the original payment method unless otherwise agreed.
     

  • If The Provider cancels or significantly reschedules a session and no alternative is acceptable to The Client, the affected session will be refunded.
     

6.6 Expiry of Prepaid Sessions

  • All prepaid sessions expire 12 months after purchase if unused.
     

 

7. Fees & Payment

  • Fees follow the current rates published on the website or confirmed via email.
     

  • Prices are shown without VAT in accordance with §19 UStG (small business regulation).
     

  • Payment is required in advance unless otherwise agreed.
     

  • Accepted methods: Stripe, Wise, bank transfer.
     

  • Sessions will not be delivered without payment.
     

 

8. Data Protection & Cookies

Personal data is processed in accordance with GDPR and BDSG for the purposes of service delivery, communication, payment processing, and optional marketing.

Health-related or sensitive data is processed only with explicit consent for coaching services.

​

The Provider may use third-party service providers to support scheduling, communication, payment processing, website analytics, marketing, secure data storage, and document management. Further details about the categories of data processed, the legal bases, and the service providers used are described in the Privacy Policy.

​

Data transfers outside the EEA are safeguarded by Standard Contractual Clauses or the EU-US Data Privacy Framework.

 

Non-essential cookies, analytics, and marketing tools are activated only after explicit consent via Usercentrics; some embedded services may not function without consent.

 

9. Intellectual Property

  • All materials, videos, frameworks, documents, and website content are protected by copyright.
     

  • The Client receives a non-transferable license for personal use only.
     

  • Commercial use requires written permission.
     

 

10. Limitation of Liability

  • The Provider’s liability for claims is limited to the fees paid by The Client for the specific services giving rise to the claim, except in cases of gross negligence, willful misconduct, death or personal injury, or any legally non-limitable liability.
     

  • The Provider is not liable for indirect, consequential, or unforeseeable damages.
     

  • The Provider maintains professional liability insurance; details are available on request.
     

 

11. Force Majeure

  • The Provider is not liable for delays or non-performance due to events beyond reasonable control (technical failures, pandemics, natural disasters, government restrictions).
     

  • Affected sessions may be rescheduled or refunded where appropriate. 
     

 

12. Governing Law & Jurisdiction

  • These Terms are governed by German law.
     

  • Exclusive jurisdiction: Courts of Frankfurt am Main, Germany.
     

  • The Client outside Germany remains responsible for complying with local mandatory consumer laws.
     

 

13. Dispute Resolution

  • The Provider attempts to resolve disputes amicably.
     

  • The Provider is not obliged to participate in consumer arbitration.
     

  • EU clients may use the Online Dispute Resolution platform.
     

 

14. Changes to Terms

  • The Provider may update these Terms at any time.
     

  • Updates will be published on the website.
     

  • Continued use of services constitutes acceptance.
